Terms of Service

Welcome to RackUp. These Terms of Service ("Terms") govern your use of the RackUp mobile application and related services (collectively, the "Service") operated by Spinfluence ("we," "us," or "our"). By downloading, installing, or using RackUp, you agree to be bound by these Terms.

1. Eligibility

You must be at least 13 years of age to use RackUp. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into a binding agreement.

2. Account Registration

To access certain features you must create an account. You agree to:

• Provide accurate and complete registration information.
• Keep your password confidential and notify us immediately of any unauthorized access.
• Be responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

3. Subscriptions and Payments

RackUp offers optional paid subscription plans ("Pro") that unlock additional features. Subscriptions are processed through Apple App Store or Google Play and are subject to their respective payment terms.

• Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period.
• You can manage or cancel subscriptions through your device's App Store account settings.
• We do not offer refunds for partial subscription periods except as required by applicable law.
• Prices are subject to change with reasonable notice.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations.
• Attempt to gain unauthorized access to any portion of the Service or its related systems.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Transmit any viruses, malware, or other harmful code.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to collect or store personal data about other users without their consent.

5. User Content

You retain ownership of any content you create within RackUp (such as match records, league data, and player information). By submitting content to the Service, you grant us a non-exclusive, royalty-free, worldwide license to store, process, and display that content solely for the purpose of providing the Service to you.

You represent that you have all necessary rights to any content you submit and that it does not violate the rights of any third party.

6. Intellectual Property

The RackUp name, logo, app design, and all software are the intellectual property of Spinfluence. Nothing in these Terms grants you any right to use our trademarks, logos, or other proprietary materials without our prior written consent.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Spinfluence shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of or related to the Service shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred dollars (USD $100).

9. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

10. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the Effective Date at the top of this page and, where appropriate, notify you through the app or by email. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
